Terms of Service
These Terms of Service ("Terms") govern your use of applications, websites, tools, and services operated by Israel Mirsky ("I", "me", or "my"), including any service that connects to Intuit or QuickBooks Online (the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You may use the Services only if you have the authority to bind yourself or the business you represent to these Terms and to authorize access to the relevant QuickBooks Online company or other data sources.
2. The Services
The Services are provided to help users access, process, analyze, sync, or otherwise work with data they authorize, including data from QuickBooks Online. Features may change from time to time.
3. Your account and connections
- You are responsible for maintaining the confidentiality of your credentials.
- You are responsible for all activity that occurs through your account or authorized connections.
- You must ensure that you have the right to connect any QuickBooks Online company or third-party account you authorize.
4. Authorization to access data
When you connect the Services to QuickBooks Online or another third-party platform, you grant permission for the Services to access and use the authorized data solely to provide the requested functionality.
Your use of Intuit and QuickBooks services remains subject to Intuit's own terms, policies, and platform requirements.
5. Acceptable use
You agree not to:
- Use the Services in violation of any law, regulation, or third-party rights
- Interfere with or disrupt the security or operation of the Services
- Attempt unauthorized access to accounts, systems, or data
- Use the Services to transmit unlawful, infringing, fraudulent, or harmful material
- Misrepresent your identity or authorization to use any connected data source
6. Customer data
You retain ownership of your data. You grant me a limited right to host, process, transmit, and display your data only as needed to operate and support the Services.
7. Third-party services
The Services may depend on third-party platforms, hosting providers, and APIs, including Intuit. I am not responsible for third-party products or services, and I do not guarantee the continued availability of any third-party integration.
8. Availability and support
I will use reasonable efforts to keep the Services available and to respond to support requests, but I do not guarantee uninterrupted or error-free operation. Maintenance, outages, security events, or third-party failures may affect availability.
9. Intellectual property
I retain all rights, title, and interest in the Services, excluding your data and the rights of third-party providers. These Terms do not transfer any ownership rights to you.
10. Privacy
Your use of the Services is also governed by the Privacy Policy available at https://israelmirsky.com/privacy-policy.
11. Termination
You may stop using the Services at any time and may disconnect third-party integrations such as QuickBooks Online. I may suspend or terminate access if you violate these Terms, create a security risk, or if continued operation is not feasible.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, I DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, I WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MY TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID, IF ANY, FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
14. Indemnity
You agree to indemnify and hold harmless Israel Mirsky from and against claims, liabilities, damages, judgments, losses, and expenses arising out of your use of the Services, your data, or your violation of these Terms or applicable law.
15. Changes to the Services or Terms
I may modify the Services or these Terms from time to time. If I make a material change, I will update the "Last updated" date on this page. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.
16. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles, except where applicable law requires otherwise.
